Legal Associate with commercial litigation experience, for our internal legal department.
To join the existing internal legal department in fulfilling the credit compliance function in transaction execution, post-transaction monitoring and recoveries.

Legal Associate with commercial litigation experience, for our internal legal department.
Spartan requires a Legal Associate to fulfil the legal function in transaction execution, post-transaction monitoring and project management for recoveries:
This is NOT a regulatory compliance role.
- Assisting with the vetting of the terms and conditions of deals from a legal perspective prior to the Credit Committee approving a deal
- Drafting legal agreements and related documents from standard templates (e.g. Loan Agreements, Pledge and Cession Agreements, Guarantees, etc.)
- Instructing attorneys to attend to the registration of securities (e.g. mortgage bonds, special notarial bonds, etc.)
- Liaising with colleagues regarding conditions, implementation and execution of deals
- Ensuring compliance with all other conditions of a deal prior to disbursing funds on a deal
- Project managing commercial recovery matters, internally and in conjunction with external legal advisors (from initiating legal action to full receipt of funds)
- General monitoring of portfolio
- Provide legal advice and services to the organisation in corporate and commercial matters
- Performing KYC/FICA/AML/PEP checks on clients
- Draft Term Sheets, ensuring they encapsulate the terms of the credit approval and perform general administration in respect of the facility agreement preparations and finalisation
- Attend to queries from credit analysts, operations and clients, providing legal expertise to the Credit Committee
- Draft documentation including regulatory required documents, non-standard security agreements and resolutions.
- To ensure that all client documents are up to date and signed off correctly and all required information is loaded onto the system
Required Qualifications

- Law Degree
- 5 years post articles work experience

Position SummaryThe Legal Advisor will be responsible for managing a wide range of complex legal matters for the group across local and international jurisdictions. The ideal candidate will have a strong commercial legal background, a sharp business acumen, and a pragmatic approach to managing legal risk in a fast-paced multinational environment.
Minimum Requirements- Admitted Attorney of the High Court.
- Minimum of 5 years’ post-admission legal experience, ideally within a large law firm, corporate, or multinational environment.
- Strong drafting and negotiation skills.
- Solid knowledge of South African commercial law and familiarity with international legal frameworks.
- Experience in managing legal risk, litigation, and compliance with local and global legislation.
- Contract drafting, review, and negotiation.
- Managing the full lifecycle of legal documents for the group, including:
- Commercial Agreements: Service level, distribution, joint venture, profit share, and sale agreements (business, shares, subscription).
- Corporate Documents: Shareholders agreements, MOIs, deeds of adherence, resolutions.
- Lease and Finance Agreements: Lease agreements, loan agreements, pledge and cession agreements, guarantees, and suretyships.
- IP and Confidentiality: NDAs, non-circumvent agreements, trademark matters.
- Internal Compliance: Policies, terms, and conditions.
- Legal Risk Management: Identify, assess, and mitigate legal risks.
- Litigation Management: Oversee and manage litigation and dispute resolution processes.
- Regulatory Compliance & Advisory: Provide legal advice and opinions on relevant laws such as CPA, NCA, POPIA, Companies Act, and Competition Act. Stay updated on legislative changes.
- Legal Research & Stakeholder Engagement: Conduct legal research, prepare reports, and liaise with internal and external stakeholders.
- Exceptional written and verbal communication skills.
- High attention to detail and organizational skills.
