Role Overview
This is an hourly, as-needed role providing legal services and guidance to TCE. Key Responsibilities
- Draft, review, and negotiate contracts, agreements, and legal documents, including:
- Corporate contracts
- Client agreements
- Employment/team contracts
- Vendor and partnership agreements
- Provide expert legal advice on U.S. corporate law, contracts, and compliance matters.
- Identify, assess, and mitigate potential legal and business risks.
- Ensure all contracts are structured to protect the company's interests while supporting operational flexibility.
- Stay updated on changes in U.S. laws and regulations relevant to corporate operations.

Qualifications & Requirements
- Juris Doctor (JD) degree from an accredited law school.
- 5+ years of experience practicing law, with a focus on corporate and contract law.
- Strong background in drafting, reviewing, and negotiating contracts of various types.
- Knowledge of arbitration and alternative dispute resolution is a plus.
- Exceptional attention to detail, with the ability to identify and mitigate risks.

- Ensure adherence to corporate governance standards, codes of conduct, and compliance requirements.
- Provide oversight and reporting on supplier diversity, BEE compliance, and enterprise development initiatives.
- Assist with policy development, approval frameworks, resolutions, and ethical standards.
- Support transformation, process optimisation, and change management initiatives to drive business improvement.

Background
The role sits within the Finance & Projects team based in the Johannesburg office. The team is predominantly active in infrastructure sector projects. Of key importance to the role is the ability to navigate around project agreements, and in particular concession agreements or PPP agreements power purchase agreements, construction contracts and operation and maintenance contracts, equipment supply agreements. The candidate should also be familiar with drafting consortium and / or shareholder agreements, and to the extent that they have acted for public sector clients, drafting of procurement documents. The practice advises mainly private sector clients including developers, consortiums and project companies, sponsors, EPC contractors, operators and industrial suppliers. The team also acts for development financing institutions both in South Africa and in Africa generally on their infrastructure projects in Africa.
In addition to the above, the candidate should demonstrate an understanding of the regulatory environment related to infrastructure and energy projects. The Candidate Required

Undertake certain elements of fee-earning work as required, with guidance and oversight.
In particular:
Manage client files and handle client care correspondence.
Attend meetings and take detailed notes.
Obtain necessary title documents.
Submit searches on behalf of clients.
Prepare Stamp Duty forms.
Create completion statements and invoices.
Complete all necessary accounts forms and have a good understanding of client ledgers.
Prepare Land Registry applications and handle any requisitions that may arise.
Assist in producing initial drafts of contracts, transfer deeds, and leases, with guidance from TP Legal Solicitors' fee earners.
Prepare comprehensive replies to Commercial Property Standard Enquiries.
Manage pre-completion requisitions efficiently.
Draft, review, and revise a variety of commercial property legal documents, including leases, licenses, rent deposits, deeds, option agreements, transfers, share purchase agreements, and asset purchase agreements.
Conduct thorough legal research and provide accurate advice to clients.
Collaborate closely with senior members of the team to handle complex cases.
Foster strong relationships with clients, ensuring excellent client service and satisfaction.
KEY QUALIFICATIONS:
Fully qualified lawyer from South Africa, specialized in property law.
Excellent attention to detail and exceptional communication skills.
Demonstrated ability to manage multiple tasks and work effectively under pressure.
