Position Overview
A fast-growing group of companies operating in mining, infrastructure, logistics, engineering, and private equity is seeking a qualified and commercially strategic Corporate Lawyer to support the group’s corporate governance, internal legal risk management, mergers & acquisitions (M&A), and corporate restructuring efforts. This role will interface directly with senior executives, boards, investors, and regulators and requires deep experience in corporate law, compliance frameworks, and transactional law.
This is a high-impact role suited for a forward-thinking, highly organized legal professional with strong drafting skills, board-level advisory experience, and the ability to oversee complex commercial and corporate matters.
POSITION INFO:
Core Responsibilities
- Corporate Governance & Legal Structuring
- Provide legal support on company formation, directorship changes, shareholder arrangements, and legal structuring across group entities.
- Draft, update, and maintain MOIs, shareholder agreements, resolutions, board charters, and committee terms of reference.
- Ensure board and committee activities align with the Companies Act, King IV, and best practice governance standards.
- Legal Compliance & Regulatory Management
- Monitor compliance with Companies Act, CIPC filings, FICA, POPIA, PAIA, B-BBEE regulations, and other sector-specific legislation.
- Coordinate with external compliance officers or auditors on legal due diligence, audits, and filings.
- Develop and implement internal legal SOPs and frameworks for company-wide compliance.
- Mergers, Acquisitions & Restructuring
- Assist in the legal evaluation, negotiation, and execution of M&A transactions, business sales, and restructures.
- Conduct or manage legal due diligence, contract reviews, deal term analysis, and documentation.
- Draft and review term sheets, sale agreements, subscription agreements, resolutions, and closing documentation.
- Contract Management & Legal Advisory
- Draft and negotiate a wide range of corporate and commercial contracts, including joint ventures, shareholder agreements, MOUs, licensing, finance agreements, and business services contracts.
- Provide strategic legal input into risk allocation, limitation of liability, indemnity clauses, and exit terms.
- Review legal implications of operational decisions and support business strategy from a legal lens.
- Board & Stakeholder Engagement
- Advise executive management and boards on legal implications of business decisions, governance gaps, or stakeholder concerns.
- Draft board packs, resolutions, and legal memoranda for internal and external stakeholders.
- Support corporate secretarial functions and maintain group-wide statutory records.
- Minimum Education: LLB Degree
- Professional Admission: Admitted Attorney of the High Court of South Africa
- Preferred: Postgraduate qualification in Corporate Law, Company Law, or Commercial Law
- Experience:
- Minimum 7–10 years post-admission experience, with at least 5 years in a corporate/commercial legal environment.
- Experience working in-house or as external counsel for multi-entity, high-growth, or regulated businesses.
- Strong drafting skills for corporate and transactional documents.
- Familiarity with CIPC platforms, regulatory filings, and corporate secretarial tools.
- Proficiency in contract management systems and document retention policies.
- Able to interpret and apply governance frameworks (King IV, JSE rules, BEE Codes, Companies Act).
- Strategic Thinking: Balances legal compliance with business agility and growth.

B. The Role in Context
We are seeking a motivated Junior Transaction Lawyer to join our in-house transactions team. This role offers an exciting opportunity to work on the legal aspects of financing and developing renewable energy projects, as well as negotiating with large scale industrial entities on the customer side. The right candidate will be joining an existing team of three lawyers, consisting of the Chief Commercial Officer, a Senior Transaction Lawyer and a Transaction Lawyer. Whilst the Junior Transaction Lawyer will primarily support the transactions team, the candidate will also be expected to support the regulatory and compliance team on occasions.
Key duties:
Supporting the wider transactions team on reviewing, negotiation, management and execution of energy transactions, including:
· reviewing, drafting and amending power purchase agreements (PPAs) and/or power supply agreements (PSAs), and other transaction documents such as security documentation and notices
· preparing table of comments / issues lists
· conducting due diligence
· managing conditions precedent checklists
· coordinating with external counsel
· coordinating with counterpartie
Supporting the business development team, including:
· management and coordination with IPPs and customers
· undertaking due diligence of IPPs and customers
· undertaking KYC activities
· assisting in pitch preparation
· preparing heads of terms for PPAs and PSAs
· preparing letters of intent or expression of interest
· preparing MOUs
· preparing legal sections of presentations
Regulatory:
· research and preparing reports / legal summaries of legislation and regulations

The Junior Transaction Lawyer will be expected to bring a combination of the following experience, personal attributes and qualifications:
- Qualified Lawyer
- Experience of working within an established project finance practice at a top tier law firm
- Power sector experience, in particular familiarity with PPAs and/or PSAs.
- Impeccable spoken and written English
- An understanding of the sub-Saharan African power market, the Southern African Power Pool markets and key technologies employed by an IPP in renewable energy power generation will be viewed favourably;

JOIN THE SINGULARITY LPO TEAM
Are you a qualified lawyer from South Africa with expertise in commercial property law? Are you seeking an exciting opportunity to showcase your skills and contribute to a dynamic legal practice? Singularity LPO, in collaboration with TP Legal Solicitors, is currently seeking a contractor to join our team and work on behalf of TP Legal Solicitors.
POSITION: Commercial Property Law Consultant (3 days per week)
Singularity LPO is a leading legal process outsourcing firm, dedicated to providing high-quality legal services. We have partnered with TP Legal Solicitors, a forward-thinking and dynamic law firm offering a range of legal services, to fill a legal consultant position within their Commercial Property team.
ROLE RESPONSIBILITIES:
Provide support to TP Legal Solicitors' fee earners in the Commercial Property team, under supervision.
Undertake certain elements of fee-earning work as required, with guidance and oversight.
In particular:
Manage client files and handle client care correspondence.
Attend meetings and take detailed notes.
Obtain necessary title documents.
Submit searches on behalf of clients.
Prepare Stamp Duty forms.
Create completion statements and invoices.
Complete all necessary accounts forms and have a good understanding of client ledgers.
Prepare Land Registry applications and handle any requisitions that may arise.
Assist in producing initial drafts of contracts, transfer deeds, and leases, with guidance from TP Legal Solicitors' fee earners.
Prepare comprehensive replies to Commercial Property Standard Enquiries.
Manage pre-completion requisitions efficiently.
Draft, review, and revise a variety of commercial property legal documents, including leases, licenses, rent deposits, deeds, option agreements, transfers, share purchase agreements, and asset purchase agreements.
Conduct thorough legal research and provide accurate advice to clients.
Collaborate closely with senior members of the team to handle complex cases.
Foster strong relationships with clients, ensuring excellent client service and satisfaction.
KEY QUALIFICATIONS:
Fully qualified lawyer from South Africa, specialized in property law.
Excellent attention to detail and exceptional communication skills.
Demonstrated ability to manage multiple tasks and work effectively under pressure.
