OVERVIEW
This individual is responsible for providing accurate and timely legal advice to the Director and Management on a variety of legal topics including but not limited to labour and employment, immigration, finance, service contracts and general operations. Responsibilities include researching and evaluating different risk factors and offering proactive advice on possible legal issues. The Legal Advisor will maintain current knowledge of laws and provide clarification on legal language and advise the Director and Management. The Legal Advisor will regularly monitor and ensure the Company’s compliance with local and international laws.
QUALIFICATIONS
- BA Law, BCom Law and / or LLB degree
- Strong organizational skills that reflect an ability to perform and prioritize multiple tasks in an energetic environment with multiple priorities.
- Exemplary writing and editing skills, with proficiency in Microsoft Word, PowerPoint, Excel, Outlook, and the Internet.
- Excellent communication and analytical skills in both written and spoken English.
- Ability to build strong working relations with external stakeholders at all levels.
- Discretion in handling confidential matters.
- Excellent judgment and ability to anticipate legal issues or risks.
- Proactive approach to problem solving.

Your Purpose.
- To monitor and provide advice on operational and commercial issues within the business. We are looking for a lawyer:
- with solid experience in consumer law and commercial law gained at top firms of attorneys and/or a leading company; and
- who will, with the assistance of external counsel specializing in litigation, be able to manage and monitor on the company’s behalf, any litigious or insurance-related matters which may arise from time to time.
- The selected candidate will serve as legal advisor and will report directly to the Legal Director.
Club Support - Please note that this makes up a significant portion of the role, specifically:
- Handling and assisting the Clubs and the Customer Engagement teams with member issues in so far as they relate to legal and/or membership contract matters, advising on in-Club member disciplinary matters, liaising with Club General Managers and Insurers, and ensuring implementation of Club rules and operational standards for disciplinary procedures.
- At times, the volume of work coming from the Clubs can be significant, and the successful applicant will need to have strong time management skills, coupled with short turnaround times.
- Assisting with compliance matters involving the Consumer Protection Act, health and safety, environmental, corporate governance, and data protection.
- Drafting, negotiating, and finalizing service level and commercial agreements with third parties (i.e., corporates, suppliers, sub-tenants, etc.).
- Facilitating the submission of third-party insurance claims and managing litigation in conjunction with VASA insurers.
- Providing legal advice and support in connection with VASA’s corporate relationships, e.g., medical scheme partners, sporting apparel partners, and other vendors and partners in general.
Vendor Contracts :
- Liaising with internal business teams to draft and formalize contracts with new or existing suppliers, reviewing and advising on existing supply contracts;
- Working with our global teams to draft, negotiate, and finalize vendor agreements in other jurisdictions.
- Providing general legal advice on commercial matters to internal teams, including transaction structuring, contract negotiation, interpretation, enforcement, risk assessment, legal and regulatory compliance, and corporate policies.
- Supporting business teams regarding VASA sub-tenants, including personal trainers, group exercise instructors, physiotherapists, biokineticists, food and beverage outlets, and swim schools.
- Overseeing intellectual property registrations and enforcement.
- Providing legal support to the VASA property legal advisor as needed.
- Supporting corporate matters, including annual audits, due diligence, corporate agreements, trademark licenses, and finance.
- Assisting with company secretarial duties.

- At least 4 years of experience as a consumer law and corporate/commercial lawyer (or litigation lawyer with relevant drafting experience), admitted as an attorney.

About:
Acting as a key point of contact for legal and risk-related queries, the Legal Advisor will work closely with operations and senior management to ensure legal frameworks and regulatory obligations are properly integrated into business processes. The role includes involvement in complex transactional work, oversight of contractual documentation, and contribution to risk mitigation efforts.
Key responsibilities include:
Advising on legal issues affecting the group’s investment management and stockbroking activities
Drafting, reviewing and negotiating a broad range of agreements, including those related to structured finance, derivatives, institutional mandates and brokerage
Supporting the implementation and maintenance of governance policies and contract management procedures across the group
Working with internal audit and risk functions to embed effective risk controls
Delivering internal training on legal, compliance and risk topics to teams across jurisdictions

Technical understanding of applicable legislation, including CISCA, FAIS, COFI, Companies Act, POPIA, GDPR, FMA, EMIR, MiFID, and OTC derivatives
Working knowledge of JSE rules as they apply to stockbroking operations
Strong drafting and negotiation skills, with the ability to present complex issues clearly to non-legal audiences
High level of accuracy and attention to detail
Excellent time management, with the ability to manage competing priorities
Professional integrity and discretion, particularly when handling sensitive or confidential information

- Practical experience advising on both long-term and short-term insurance products, structures and distribution arrangements
- Proficiency in drafting and interpreting a wide range of legal instruments, including contracts, commercial agreements, policy wording and formal legal opinions
- Proven ability to operate effectively in a high-demand environment, managing multiple priorities and engaging with stakeholders across varying levels of complexity

ActivitiesUnder the supervision of the Legal Manager TotalEnergies Renewables, your main responsibilities will be to:
- Anticipate the risks and legal needs, alert, advise and propose appropriate solutions;
- Draft, review and negotiate a wide range of forms of agreements (confidentiality agreements, letters of intent; memorandum of understanding , term sheets, partnership agreements; joint development agreement, shareholders agreements, EPC contracts, O&M agreements; land agreements, acquisition and sale of assets, share purchase agreements, project finance agreements, etc.);
- Assist the business development team to prepare legal documentation for the response to calls for tenders for renewable projects and follow the legal aspects of such projects once awarded, including working with internal and external stakeholders on various legal aspects;
- Support the business development, project development, construction and asset management teams on contract and legal matters;
- Analyze and interpret new regulations guiding the Renewable Energy Industry within SA;
- Support the Legal Manager with the coordination and supervision of workstreams with appointed local country panel of external law firms in accordance with TotalEnergies group policies;
- Exercise contractual and legal due diligence pertaining to claims and litigation in liaison with the Legal Manager;
- Assist the Legal Manager with legal and contractual reporting requirements;
- Company secretarial and general administrative support;
- Contribute to the development of training and guidelines to the operational teams;
- Maintain electronics contractual and legal database/s;
- Ensure compliance with Group corporate policies applicable within your field of responsibility;
- Implement a culture of compliance and integrity; and
- Any other duties as assigned by the line manager.
LLB or BCom Law with further studies in business.
Minimum 5 to 6 years’ experience in private practice or inhouse legal advisor with strong knowledge of the South African IPP Power and Renewable projects.
Experience within commercial and finance department within a multinational company is desirable.
Ability to manage multiple projects, prioritize work and work effectively under pressure to deliver under short timeframes.
Pragmatic, solution oriented, you will have to be well organized, must be able to adapt quickly to the changes in the projects environment and to various complex.
Strong interpersonal skills are required as you will frequently collaborate with various third parties as well as with peers in other teams across the TotalEnergies Group.

The above vacancy exists within the Legal Services department and reports to the Senior Legal Advisor. The purpose of this role is to provide legal services and support to the company, as well as play a support role to the Legal Services General Manager. The ideal candidate will be someone who has successfully completed an LLB degree, with a minimum of 5 years of relevant experience as well as minimum 2 years of post-articles experience.
Key Performance Areas:- Supervise Copyright Infringement, dispute resolution and general litigation.
- Contract negotiation, drafting, vetting and management.
- Collections (Debtors Book and Tenants).
- A minimum of 5 years’ relevant experience, of which at least 2 years should have been in a senior or supervisory role.

- Minimum of 2-3 years post-admission experience in a corporate legal department or reputable law firm
