Overview

How will you CONTRIBUTE and GROW?

In this position, the incumbent is accountable to provide assistance to the Head of Legal - Southern Africa, on legal matters relating to the company and its affiliated companies within Southern Africa, including but not limited to:

  • pre-litigation and litigious claims
  • commercial, contractual or civil disputes
  • labour and employment law
  • interpretation and/or negotiation of a wide range of commercial, operational and supply chain contracts
  • provision of legal support to the various functions of the organisation in the areas of business development, sales and marketing, finance, procurement, human resources, engineering, operations and maintenance
  • assist in the management of corporate governance, legal and regulatory compliance, and statutory secretarial duties
Main Accountabilities
  • Corporate Governance & Company Secretariat
    • Assist in preparing and reviewing board and shareholder documentation, including agendas, resolutions, board packs, and minutes.
    • Support compliance with the Companies Act, King IV Principles of Corporate Governance, and Group frameworks.
    • Maintain statutory registers and ensure timely submissions to the CIPC.
    • Prepare and file amendments to company records (e.g., changes in directors, officers, share registers, resolutions).
    • Facilitate board, statutory committee, and shareholder meetings, including drafting agendas, minutes, and resolutions.
    • Provide governance training to directors, prescribed officers, information officers, and statutory committee members.
    • Liaise with regulators such as the B-BBEE Commission, Competition Commission, Information Regulator, and others.
  • Commercial & Contractual Work
    • Draft, review, and negotiate a wide range of contracts including supply, procurement, distribution, partnership, and services agreements.
    • Support the contract lifecycle (renewals, amendments, terminations).
    • Advise business stakeholders on risk allocation, obligations, and rights.
    • Provide legal input in tenders, bids, and procurement processes.
    • Maintain proper filing and management of executed contracts.
  • Labour & Employment Law
    • Provide day-to-day advice to HR on labour relations and employment law.
    • Draft and review employment contracts, HR policies, and procedures.
    • Advise on misconduct, disciplinary, grievance, and incapacity matters.
    • Support restructuring, retrenchment, and collective bargaining processes.
    • Represent the company in CCMA proceedings and liaise with external labour attorneys.
    • Ensure compliance with South African labour laws, including the Labour Relations Act, Basic Conditions of Employment Act, Employment Equity Act, and Occupational Health and Safety Act.
  • Debt Recovery & Litigation Support
    • Draft and issue letters of demand, acknowledgements of debt, breach notices, and other legal correspondence.
    • Manage external debt collection attorneys and business rescue practitioners.
    • Lodge claims in business rescue, liquidation, or sequestration proceedings.
    • Attend creditors’ meetings and liaise with liquidators and curators.
    • Support litigation, arbitration, and mediation, including briefing and managing external counsel.
  • Compliance & Regulatory Matters
    • Monitor developments in laws and regulations across Southern Africa, with focus on corporate, commercial, labour, safety, consumer, data privacy, and competition law.
    • Assist with compliance programs including ethics, anti-corruption, data protection, and Code of Conduct initiatives.
    • Support internal and external compliance audits and regulatory inspections.
    • Contribute to updating the compliance risk management plan.
    • Provide compliance and ethics training across the organisation.
  • Advisory & Business Partnering
    • Provide legal advice to Sales, Commercial, Operations, Finance, HR, and other functions.
    • Conduct legal research and prepare memoranda on emerging risks.
    • Ensure legal advice is pragmatic, business-oriented, and aligned with Group strategy.
    • Act as a legal partner in strategic projects and business development.
    • Handle Ethical Alerts in coordination with the Head of Legal.
  • Departmental Administration & Knowledge Management
    • Maintain departmental records, templates, and precedents.
    • Prepare regular legal reports and updates for management.
    • Support the monitoring of legal spend and external counsel performance.
    • Develop internal training materials, guidance notes, and tools.
Education & Experience
  • Educational Requirements
    • Education: LLB, or Bachelor of Laws / Bcom of Laws with LLB degree or equivalent
  • Experience
    • Admitted Attorney (or <3 years post serving Articles of Clerkship at a reputable law firm)
    • 2 to 3 years experience in the field of corporate/company law, commercial, corporate governance, legal and regulatory compliance.
  • Knowledge And Know-how Specific To The Job

Job Purpose:

Your tasks:

Legal Advice and Services

  • Assist in providing a comprehensive legal service to DSC by advising on all legal aspects relating to the business of DSC, including the review of tender processes, negotiation of contracts, and post-contract interpretation and possible disputes. Where a dispute arises, meaningfully explore alternatives to litigation and manage any alternative dispute resolution process successfully.
  • Draft and review commercial documents in line with commercial expectations and advise on commercial transactions from a legal perspective.
  • Maintain up-to-date and proper records and action all legal correspondence. Manage systems and processes to ensure efficiency in the administration of the legal function.
  • Advise DSC on legal aspects affecting its business and answer all ad hoc queries raised by DSC.
  • Ensure compliance by DSC with applicable group policies and procedures, including ensuring that contracts with service providers and clients comply with the Company’s contracting standards and Commercial Expectations.
  • Identify potential areas of risk and liability, advising on strategies for avoidance, minimization, and/or mitigation, and escalate any material issues within the business and legal department where required. Provide legal updates and training to DSC on recent legal developments.
  • Liaise with other departments (legal or otherwise) as necessary, e.g., Company Secretarial, Corporate Real Estate, Risk and Insurance.
  • Liaise with other business units both in South Africa, the UK, and overseas as appropriate to facilitate the conclusion of transactions and other projects.
  • Manage litigation: Liaise and assist in managing external legal counsel and monitor and minimize legal spend.

  • Company Secretarial: File company changes such as directorship changes, resolutions, annual returns, and changes in ownership or shareholding. Responsible for resolution processes for authorized signatories and maintaining statutory books and registers. Act as the key corporate secretarial support for statutory meetings.
  • Proactively manage corporate governance and statutory compliance administration.

  • Ensure corporate housekeeping is maintained and facilitate due process in company searches and other government inquiries.
  • Conduct legal research and draft legal opinions.
  • Approve on BCA and Contracts Database portals, ensuring adherence to standards.

Departmental Support and Growth

  • Be an integral member of the GBS Legal Services UKIEEMEA team (MEAT Region).
  • Attend various team meetings, know-how and training sessions, and conferences.
  • As part of shared legal services, support the needs of other Business Units in the region as workload permits.
  • Liaise closely and work with the Group Corporate Data Protection Officer and the Data Protection Advisor(s) as needed.

Legal Counsel to Support Our Banking Client

We are searching for a talented Legal Counsel to join our client in the exciting world of banking. You'll play a vital role by providing effective support to the Senior Litigation Manager and the broader Legal Department.

Responsibilities
  1. Coordinate transition of non-performing accounts to the legal division.
  2. Understand different business structures within the Group and how to litigate accordingly.
  3. Create and enhance the processes required for this purpose and have the ability to learn and work on numerous systems.
  4. Manage handover and litigation processes.
  5. Coordinate perfection of securities, including taking physical possession of assets and managing the disposal of assets.
  6. Attend to trial preparation as well as appear in court in a representative capacity on behalf of the company.
  7. Attend meetings with debtors and negotiate payment arrangements and settlements where required.
  8. Active involvement in assisting and upskilling the collections department and business at large to ensure maximum effectiveness and outcomes.
  9. Manage a panel of attorneys and provide necessary training and support.
  10. Manage legal accounts on both a defended and undefended basis in conjunction with the relevant parties, ensuring maximum recovery to the Bank in the shortest possible timeframe.
  11. Manage a team of coordinators, including other attorneys, and maximize productivity including up-skilling of the coordinators.
  12. Monitor insolvencies, liquidations, sequestrations, business rescue, offers of compromise, curatorship, etc.

  15. Explore, pursue and realize all avenues of recovery to maximize benefit to the Bank.
  16. Manage and contain all internal and external costs associated with the collection of outstanding agreements.
  17. Compile and assist in coordinating all impairment and other reports required, including monthly post-mortem reports, active charge-off reports, and ad hoc reports required by business and credit.
  18. Recommend write-offs to the Credit Committee after all avenues of recovery have been exhausted.
  19. Encourage team effectiveness by promoting open discussion and consensus.
  20. Establish goals, standards, and procedures for team members.
  21. Encourage initiative amongst team members.
  22. Manage meetings for both litigious matters and new business when input is required.
  23. Provide opinions and assist in legal drafting across the business.

What You’ll Do

As a Legal Counsel at Mukuru, you will:

  • Provide expert legal advice across the business, helping teams navigate complex challenges.
  • Draft, review, and negotiate commercial contracts and agreements across multiple jurisdictions.
  • Support compliance and licensing requirements in Africa, the UK, and Europe.
  • Identify and mitigate legal risks while enabling the business to scale.
  • Manage disputes, litigation, and relationships with external counsel when needed.
  • Stay on top of legal developments and regulatory changes to keep Mukuru ahead of the curve.
  • Partner with internal stakeholders to roll out policies, procedures, and compliance frameworks.
What You’ll Bring
  • Education : LLB or recognised law degree with strong academic credentials (Essential).
  • Professional standing : Admitted Attorney or equivalent in another jurisdiction.
  • Experience : 3–5 years’ post-qualification experience in corporate and commercial law.
  • Strong drafting and contract negotiation skills.
  • Ability to work independently and manage multiple priorities.
  • Excellent communication skills and a pragmatic, solution-driven mindset.

Bonus Points for:

  • Experience across African, UK, and European jurisdictions.
