Responsibilities :
- Provide legal advice on various mining projects and operations.
- Draft, review, and negotiate contracts and agreements related to mining activities.

- Represent the company in legal proceedings related to mining activities.
- Conduct research on legal issues affecting the mining industry.

Requirements :
- Bachelor’s degree in Law (LLB) with specialization in mining law.

Responsibilities
- Taking initiative in identifying and driving the legal, regulatory and compliance matters of the ODO group
- Drafting, reviewing and assisting with the negotiation of various commercial contracts on behalf of the ODO group (e.g. supplier agreements, trading terms and day-to-day operational agreements)
- Providing advice and guidance to the business
- Updating and refining template documents and company policies
- Assisting with dispute resolution and general litigation matters
- Monitoring and advising on new legal and compliance developments affecting the ODO group
- Advising on applicable legislation, in particular the Consumer Protection Act, the Companies Act and the Customs and Excise Act
- Conducting legal research and providing legal advice to the ODO group as required
- Providing or facilitating training on legal and regulatory matters
- Assisting with company secretarial matters
- Building and maintaining relationships with internal stakeholders of the ODO group
- Assisting with the contract management system
- Supporting the board as required
- Liaising with external legal counsel (where necessary)
- LLB, admitted attorney in South Africa
- 2-3 years post-admission experience at a well-established law firm or in the in-house legal department of a large corporate organisation
- Experience in corporate and commercial law is essential (particularly in drafting and reviewing contracts).
- Experience in e-commerce would be advantageous
- Proactive with the ability to work independently

Role Purpose
The purpose of this role is to enhance the legal capabilities across Momentum Insure; implement an end-to-end corporate legal function; enhance stakeholder interactions; ensure the effective management of legal risk while supporting strategic growth initiatives; and support the legal function.
Responsibilities and work outputs
- Ability to identify, assess, manage, monitor and report on current and potential legal risks within Momentum Insure.
- Continuously staying abreast with changes in legislation, regulations, proposals from regulators and provide research on legal related topics and providing legal opinions within the financial services sector.
- Assessment of business needs and provide corporate legal advice regarding contracting and projects implementation.
- Ability to draft, negotiate, review and advise on contracts including but not limited to Service Level, MOU, NDA, Outsourcing, binder etc.
- Manage the contract management process.
- Provide strategic legal support, advice and guidance to Momentum Insure, including its various committees, forums and departments which may require legal support.
- Build strong relationships through providing specialist legal opinion.
- Assist, support and contribute to Risk Management and Legal Management within Momentum Insure
- Effective implementation of policies and guidelines.
- Assist in the effective execution of the Legal Risk Management Framework including implementation of same throughout the organisation.
- Tracking and monitoring of key legal risk indicators, controls and action plans.
- Assisting in compiling legal reports.
- Attend to general legal queries, as and when requested
- Continuously develop your own expertise in terms of the industry and subject matter development and application thereof in an area of specialization
- Ability to project manage legal deliverables in conjunction with stakeholder
- Provide legal training or insights to different business units on applicable legal issues which is relevant for a particular business unit, including legal processes and policies.

The ideal candidate will be someone who has successfully completed an LLB degree, with a minimum of 5 years of relevant experience as well as minimum 2 years of post-articles experience.

ActivitiesUnder the supervision of the Legal Manager TotalEnergies Renewables, your main responsibilities will be to:
- Anticipate the risks and legal needs, alert, advise and propose appropriate solutions;
- Draft, review and negotiate a wide range of forms of agreements (confidentiality agreements, letters of intent; memorandum of understanding , term sheets, partnership agreements; joint development agreement, shareholders agreements, EPC contracts, O&M agreements; land agreements, acquisition and sale of assets, share purchase agreements, project finance agreements, etc.);
- Assist the business development team to prepare legal documentation for the response to calls for tenders for renewable projects and follow the legal aspects of such projects once awarded, including working with internal and external stakeholders on various legal aspects;
- Support the business development, project development, construction and asset management teams on contract and legal matters;
- Analyze and interpret new regulations guiding the Renewable Energy Industry within SA;
- Support the Legal Manager with the coordination and supervision of workstreams with appointed local country panel of external law firms in accordance with TotalEnergies group policies;
- Exercise contractual and legal due diligence pertaining to claims and litigation in liaison with the Legal Manager;
- Assist the Legal Manager with legal and contractual reporting requirements;
- Company secretarial and general administrative support;
- Contribute to the development of training and guidelines to the operational teams;
- Maintain electronics contractual and legal database/s;
- Ensure compliance with Group corporate policies applicable within your field of responsibility;

LLB or BCom Law with further studies in business.
Minimum 5 to 6 years’ experience in private practice or inhouse legal advisor with strong knowledge of the South African IPP Power and Renewable projects.
Experience within commercial and finance department within a multinational company is desirable.
Ability to manage multiple projects, prioritize work and work effectively under pressure to deliver under short timeframes.
Pragmatic, solution oriented, you will have to be well organized, must be able to adapt quickly to the changes in the projects environment and to various complex.
Strong interpersonal skills are required as you will frequently collaborate with various third parties as well as with peers in other teams across the TotalEnergies Group.
